01The agreement

This agreement is between you and Bradford Operations LLC, a New York limited liability company (we, us). It covers Bradford Glitch and Bradford Textures, the OFX plugins for DaVinci Resolve that we sell, together with their updates, their documentation and the Bradford Plugins app when we supply it to install or run them. We call these the plugins.

You accept this agreement when you buy a license, or when you install or use a plugin. If you are accepting for a company or other organization, you confirm that you may bind it, and you means that organization. If you do not accept, do not install or use the plugins. If you have not used the plugin you bought, write to us and we will refund you.

Your Bradford account, the website and Bradford Lab are covered by our Terms of Service and Privacy Policy. Where they and this agreement differ about the plugins, this agreement applies.

02Your license

For each license you buy, we grant you a non-exclusive, non-transferable right to install the plugin and to use it on one computer at a time, for as long as this agreement lasts. You pay once. There is no subscription.

  • You may install the plugin on as many computers as you like. The number of licenses you hold is the number of computers that can use it at the same moment.
  • Glitch + Textures is one license of each plugin.
  • You may use the plugins for commercial work. What you make with them, including every frame you render, is yours. You owe us no royalty, credit or further fee for it.
  • A licensed plugin adds no watermark to your renders.

The plugins are licensed, not sold. We and our licensors keep all rights not expressly granted here, including the code, the effects' designs and the names Bradford, Bradford Glitch and Bradford Textures.

03Computers, sign-in and working offline

A plugin needs you to sign in to your Bradford account once on each computer. After that, it manages your licenses on its own:

  • When DaVinci Resolve uses the plugin, the computer takes one of your licenses. It checks in with us about once an hour while Resolve runs, and gives the license back when Resolve quits.
  • If the computer loses its connection, the plugin keeps working for 12 hours after its last check-in. After that it needs to reach us again.
  • For time away from the internet, you can borrow a license onto a computer for 1 to 14 days, and return it early from the plugin. A borrowed license counts as in use for that time.
  • The license portal at your account shows which computers hold your licenses. It can ask a computer you cannot reach to give its license back; that computer does so the next time it checks in. Otherwise the license comes back when its 12 hours or its borrow run out.

A computer that can never connect to the internet needs a separate arrangement. Write to us at support@bradfordoperations.com. If we agree one with you, the terms that come with it apply in addition to this agreement.

04Giving licenses to others, and Bradford Lab

From the license portal you may give any of your licenses that are not in use to another person, or to an organization you belong to, and take each one back. A license you give is still yours: you remain responsible for how it is used, and taking it back ends its use on the other person's computer at its next check-in (a borrowed license runs to the end of its borrow).

Each purchase can also turn the plugin on in Bradford Lab for one organization in which you are an owner or project manager. That use takes none of your desktop licenses, and it ends if you leave that organization or no longer hold a license of the plugin.

Apart from this, you may not sell, rent, lend or transfer a license or the plugins to anyone.

05Mac, the Windows beta and the full Windows release

  • Mac: the full release, for Apple silicon (M1 or later). It needs a version of DaVinci Resolve that runs third-party OFX plugins on your Mac.
  • The Windows beta is a pre-release build of both plugins, offered to license holders from the Downloads page of your account. It is unsigned, so Windows SmartScreen asks you to confirm before it runs, and it renders on the computer's processor rather than its graphics card. It has no sign-in and no license check, and it stops working on a date given in its Read Me. It is for you and the people you give licenses to; do not pass it on. We provide it as it is, it may have faults, and its effects may change before the full release.
  • The full Windows release is included with your license, at no extra cost, when it ships. We have not set a date for it and do not promise one. Until it ships, a new beta may replace the old one before its date passes, but we do not guarantee that a beta is available at every moment.

06Updates and your saved projects

Updates to Glitch and Textures are included with your license at no charge. A different product we sell under another name is not an update. We are not obliged to release updates, or to keep supporting an old version of macOS, Windows or DaVinci Resolve.

Where an effect has a Look Version control, a node saved in a project keeps the version it was made with, so an update does not change how that project renders. New nodes start at the newest version, and you move a node to a newer one yourself.

07What you may not do

Do not, and do not help anyone else to:

  • Use one license on more than one computer at the same moment, or let anyone else sign in with your account
  • Get around, disable or interfere with the license check, the Windows beta's end date or any watermark, including by copying a license, its keychain entry or a disk image to another computer
  • Reverse engineer, decompile or disassemble the plugins, except to the extent the law allows it despite this restriction
  • Copy, modify, publish or distribute the plugins or their installers, except for a backup copy for your own use
  • Offer the plugins to others as a hosted, remote or rendering service, apart from your own work for your own clients
  • Remove or change any notice of ownership in the plugins or their documentation

08What the license check sends us

To manage your licenses, each computer sends us: your account, which plugin, the plugin's version, that the computer is a Mac, the computer's name, and an identifier made one way from its hardware ID (we cannot recover the hardware ID from it). We record when a license is taken, renewed, borrowed and given back.

The plugins do not send us your frames, media, project files or anything else about your work. We use this information to run your licenses and the license portal, and handle it as our Privacy Policy describes.

09Price, payment and taxes

Prices are in US dollars, and Stripe processes the payment for us. Sales tax, VAT or similar tax is added at checkout where we collect it; the total you see before you pay is what you are charged. Where we do not collect a tax that applies to your purchase, paying it is your responsibility.

10Refunds and cancellation

The plugins are digital, so sales are final: we do not give refunds for a change of mind. This does not take away any right the law gives you.

  • If a plugin does not work on a setup our product page says it supports, write to us. We will try to fix it, and if we cannot, we will refund you.
  • If you are a consumer in the European Union or the United Kingdom, you may cancel within 14 days of buying, unless you asked at checkout for access to start straight away and acknowledged that you lose that right once it does.
  • We may also refund in other cases at our discretion.

When a purchase is refunded, or its payment is disputed with your bank, the licenses it bought end. A computer using one stops at its next check-in, and a borrowed license runs to the end of its borrow.

11When the license ends

Your license lasts until it ends in one of these ways: you stop using the plugins and tell us so, the purchase is refunded or charged back, or you seriously break this agreement and, where the breach can be put right, do not put it right within 30 days of our notice.

When it ends, stop using the plugin it covered and remove it from your computers. The sections on ownership, what you may not do, warranty, liability and the law that applies continue to apply.

12No warranty

Apart from the promise in Refunds about a plugin that does not work, the plugins are provided as they are and as they are available. To the fullest extent the law allows, we give no other warranty, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the plugins will run without interruption or error, or that the license service will always be reachable.

The plugins change pictures on purpose. Check your renders before you deliver them.

13Limits on liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or production time, arising from the plugins or this agreement, even if we were told they were possible. Our total liability for everything arising from the plugins and this agreement is limited to the amount you paid us for the licenses concerned.

Some places do not allow these limits, or give consumers rights that cannot be waived. Where that is so, the limits apply only as far as the law permits, and nothing here limits liability that cannot be limited by law.

14Export, government use and the law that applies

You may not export or use the plugins in breach of United States export controls or sanctions, or in a country or by a person they prohibit.

The plugins are commercial computer software. If you are a United States government user, you receive only the rights this agreement gives everyone else.

The laws of the State of New York govern this agreement, without regard to its conflict-of-laws rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. Disputes go to the state and federal courts in New York County, New York. If you are a consumer, you also keep the protection of the mandatory laws of the place you live and may bring a claim in its courts.

15Changes, and how to reach us

The version of this agreement you accepted when you bought governs that purchase. If we publish a new version, it will be here with a new version and date, and it applies to you only if you accept it, for example when you buy again or install an update that asks you to.

If a court finds part of this agreement unenforceable, the rest still applies. Not enforcing a part is not giving it up. This agreement, with the Terms of Service and Privacy Policy, is the whole agreement between us about the plugins.
